Terms of Service

“BotOverload” or “Service” refers to our software platform and related services that automate e-commerce sales and chat interactions on WhatsApp, Instagram, and Facebook.

“User Content” means any data, messages, images, or other content that you upload, send, or transmit through BotOverload (including messages to/from your customers or audience).

“Account” means the account you create to access and use BotOverload.

“Subscription Plan” refers to any paid plan (if applicable) that entitles you to use certain features of BotOverload. Subscription Plans are governed by a separate Order Form or online checkout agreement.

Eligibility

You must be at least 18 years old (or the legal age of majority in your jurisdiction) and able to form a binding contract under UAE law.

Registration

To use BotOverload, you must register for an Account via our website or app. You agree to:

• Provide accurate, current, and complete information (e.g., business name, email).
• Maintain and promptly update your Account information to keep it accurate.
• Maintain the confidentiality of your password and API credentials.
• Notify us immediately of any unauthorized use of your Account or any security breach.

Account Security

You are solely responsible for any activity conducted under your Account. Algorithm Squad will not be liable for any loss or damage arising from your failure to safeguard your login credentials.

License Grant

Subject to your compliance with these Terms, Algorithm Squad grants you a limited, non-exclusive, non-transferable, revocable license to access and use BotOverload solely for your internal business purposes.

Restrictions

You may not:

• Reverse engineer, decompile, or disassemble any part of the Service.
• Circumvent or disable any security or technological measure within BotOverload.
• Use BotOverload to send unsolicited or unlawful marketing communications (spam).
• Use BotOverload to infringe or violate any intellectual property, privacy, or publicity rights.
• Interfere with or disrupt the integrity or performance of BotOverload or any third-party networks or systems used by the Service.
• Rent, lease, lend, sell, sublicense, redistribute, or transfer BotOverload or any portion thereof to any third party.
• Use BotOverload for any illegal, fraudulent, or unauthorized purpose.

User Content

You retain ownership of all User Content. By submitting User Content through BotOverload, you grant Algorithm Squad a worldwide, royalty-free, sublicensable, and transferable license to use, store, process, and display such User Content solely to provide and improve the Service.

Responsibility for User Content

You are exclusively responsible for:

• Ensuring that you have all necessary rights and permissions to upload, transmit, and process User Content.
• Complying with applicable laws (e.g., data protection, marketing regulations) when sending messages to your customers.
• Not uploading or sending content that is unlawful, infringing, defamatory, obscene, or harassing.
• Obtaining any required consents from end-users to receive automated messages via social platforms.

Monitoring and Enforcement

Although we do not generally monitor User Content, Algorithm Squad reserves the right (but has no obligation) to review, modify, or remove any User Content that we believe violates these Terms or is otherwise objectionable.

Subscription Plans

BotOverload may offer various Subscription Plans (e.g., Basic, Pro, Enterprise) that provide different levels of functionality, message volume, and support. Details, pricing, and features for each plan are set forth on our website or in a separate Order Form.

Billing and Payment

• Subscriptions are billed in advance on a recurring basis (monthly or annually) according to the plan you select.
• All fees are exclusive of taxes, levies, or duties imposed by taxing authorities; you are responsible for payment of all such taxes.
• If payment is not received by the due date, we reserve the right to suspend or terminate your Account and delete your data in accordance with Section 10.

Free Trial

If you enroll in a free trial, you agree that we may automatically charge you for the Subscription Plan you select upon trial expiration unless you cancel prior to the end of the trial period.

Refunds and Cancellations

• All subscription fees are non-refundable, except where required by law or as expressly stated in a separate agreement.
• You may cancel your subscription at any time via your Account dashboard; cancellations take effect at the end of the current billing cycle.

Uptime Commitment

Algorithm Squad strives to maintain at least 99.5% uptime for BotOverload, excluding scheduled maintenance or force majeure events.

Support

We provide email support and a knowledge base. Depending on your Subscription Plan, you may receive priority support, including 24/7 technical assistance with a guaranteed response time (e.g., 12 hours for Enterprise Plan).

Maintenance and Updates

We may perform scheduled or emergency maintenance that could temporarily affect Service availability. We will use reasonable efforts to provide advance notice of scheduled maintenance.

Our Ownership

BotOverload (including all software, code, user interface designs, trademarks, logos, and underlying infrastructure) is the exclusive property of Algorithm Squad and its licensors. All rights not expressly granted under these Terms are reserved.

Feedback

If you provide feedback, suggestions, or ideas related to BotOverload, you agree that Algorithm Squad may use and incorporate such feedback without restriction and that you will have no rights in any resulting modifications or improvements.

Definition

“Confidential Information” means any non-public information disclosed by one party (“Discloser”) to the other (“Recipient”) that is designated as confidential or that reasonably should be understood as confidential given the nature of the information and the circumstances of disclosure.

Obligations

The Recipient agrees:

• To use the Confidential Information solely to exercise rights and perform obligations under these Terms.
• To restrict disclosure of the Confidential Information to employees, contractors, or agents who need to know and who are bound by confidentiality no less protective than these Terms.
• To take reasonable measures to prevent unauthorized use or disclosure.

By You

You represent and warrant that:

• You have full authority to enter into and perform these Terms.
• Your use of the Service will comply with applicable laws (including data protection, electronic marketing, and consumer protection regulations).
• You have obtained all consents necessary to transmit automated messages to your end-users.

By Algorithm Squad

We represent and warrant that:

• We have the right and authority to provide the Service and enter into these Terms.
• The Service will materially conform to our publicly posted documentation.
• We will not intentionally introduce malicious code (e.g., viruses, trojans) into the Service.

Disclaimer

EXCEPT AS EXPRESSLY STATED HEREIN, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. ALGORITHM SQUAD DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No Indirect Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ALGORITHM SQUAD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION), ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF BOTOVERLOAD, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Aggregate Liability

ALGORITHM SQUAD'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF BOTOVERLOAD SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO ALGORITHM SQUAD IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY (OR, IF NO FEES WERE PAID, USD 500).

Term

These Terms commence on the date you first access or use BotOverload and continue until terminated.

Termination by You

You may terminate these Terms at any time by deleting your Account and ceasing all use of BotOverload.

Effect of Termination

• Upon termination, your right to use BotOverload will immediately cease.
• Any fees paid are non-refundable, except as required by law.
• We may delete or anonymize your User Content after thirty (30) days of termination.

Governing Law

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of laws principles.

Resolution of Disputes

• Informal Negotiation: We encourage you to first contact us at legal@algorithmsquad.ae to resolve any concerns amicably.
• Arbitration: If we cannot resolve disputes informally within sixty (60) days, any controversy or claim arising out of or relating to these Terms shall be finally settled by confidential arbitration in Dubai, UAE, under the Dubai International Arbitration Centre (DIAC) Rules.

Trademarks

“BotOverload” and related logos are trademarks of Algorithm Squad. You may not use any of our trademarks without our prior written consent.

Third-Party Materials

The Service may include or link to third-party content (e.g., social-media APIs). All such materials remain the property of their respective owners; your use of those materials is subject to their own terms and policies.

Entire Agreement

These Terms (together with any Order Forms, Privacy Policy, and any other policies referenced herein) constitute the entire agreement between you and Algorithm Squad regarding BotOverload and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

Assignment

You may not assign or transfer your rights or obligations under these Terms without Algorithm Squad's prior written consent. Algorithm Squad may assign these Terms in connection with a merger, acquisition, or sale of assets.
