1. Introduction

These Terms of Service ("Terms") govern your access to and use of BotOverload, the AI-powered social media automation platform provided by Algorithm Squad FZE ("Algorithm Squad," "we," "us," or "our").

By accessing or using BotOverload, you ("you," "your," or "User") agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

2. Definitions

"BotOverload" or "Service" — refers to our software and related services that automate e-commerce, customer support, and social-media interactions across WhatsApp, Instagram, and Facebook.

"User Content" — means any data, messages, images, or other content that you upload, send, or transmit through BotOverload (including interactions between your business and customers).

"Platform Data" — refers to data obtained through Meta's APIs (Instagram Graph API, WhatsApp Business API, and Facebook Graph API).

"Account" — the account you create to access and use BotOverload.

"Subscription Plan" — any free or paid plan that entitles you to use certain BotOverload features.

3. Eligibility and Account Registration

You must be at least 18 years old (or the legal age of majority in your jurisdiction) and able to form a binding contract under UAE law.

To use BotOverload, you must register for an Account and agree to:

Provide accurate, current, and complete information (e.g., business name, contact email).
Keep your login credentials confidential and secure.
Notify us immediately of any unauthorized access or breach.

You are solely responsible for any activity occurring under your Account.

4. License Grant and Restrictions

License Grant

Subject to your compliance with these Terms, Algorithm Squad grants you a limited, non-exclusive, revocable license to use BotOverload solely for your internal business operations.

Restrictions

You may not:

Reverse engineer or decompile any portion of the Service.
Use BotOverload to send spam or unsolicited communications.
Infringe on intellectual property or privacy rights.
Misuse or resell access tokens or credentials provided by Meta Platforms.
Circumvent rate limits or data access controls imposed by Meta APIs.
Use Platform Data outside the explicitly permitted purpose defined under Meta's Platform Terms.

5. Platform Data and Meta Compliance

5.1 Use of Meta Platform Data

BotOverload integrates with the Instagram Graph API, WhatsApp Business API, and Facebook Graph API to deliver legitimate, user-requested business functions such as:

Displaying connected Instagram business profiles (via instagram_basic permission).
Managing customer messages and comments to enhance engagement.
Automating approved customer communication workflows.
Providing analytics and business insights for account performance.

5.2 User Consent and Authorization

When you connect a Meta account:

You authorize BotOverload to access specific data categories as permitted by Meta's OAuth flow.
You confirm you have obtained consent from end-users (e.g., customers or followers) before initiating automated messages.
You acknowledge that BotOverload processes such data solely for your requested and user-facing business functions.

5.3 Compliance Commitment

BotOverload and Algorithm Squad FZE agree to:

Use Meta Platform Data only for explicitly allowed business use cases.
Never sell, share, or transfer Platform Data to third parties without authorization.
Delete or anonymize Platform Data upon account disconnection or at your request.
Display the Privacy Policy URL within the SDK dialogs and make it accessible to all users before login.

6. User Content and Responsibilities

You retain full ownership of all User Content.

By submitting content through BotOverload, you grant Algorithm Squad a limited license to process and display it solely to provide and improve the Service.

You are responsible for ensuring:

Your User Content complies with applicable laws and Meta's Developer Policies.
You obtain any required consents to communicate with end-users.
You do not send misleading, offensive, or unlawful content.

Algorithm Squad reserves the right to review or remove content violating these Terms.

7. Subscriptions, Fees, and Payments

Subscriptions are billed monthly or annually depending on the plan.

All payments are processed via secure third-party payment providers.

Fees are non-refundable unless required by law or otherwise stated.

You can cancel anytime through your account dashboard.

8. Service Levels and Support

We aim to maintain 99.5% uptime, excluding maintenance or force majeure.

Support options include email and chat assistance, with Enterprise plans eligible for 24/7 support (12-hour SLA response time).

9. Intellectual Property

All rights, titles, and interests in BotOverload, including software, source code, designs, and trade names, remain the property of Algorithm Squad and its licensors.

You may not use "BotOverload" or "Algorithm Squad" trademarks without permission.

If you share product feedback or suggestions, we may use them without obligation to you.

10. Confidentiality

Any non-public business, technical, or operational information shared between the parties will be treated as Confidential Information and may not be disclosed without consent, except as legally required.

11. Representations and Warranties

You represent that:

You have authority to enter these Terms and legally operate your business.
Your use of BotOverload complies with Meta's Platform Terms and local laws.
You have obtained all necessary customer consents for automated interactions.

Algorithm Squad warrants that:

The Service will function substantially as described in its documentation.
It will not intentionally introduce malicious code.

Disclaimer

The Service is provided "as is" and "as available." We disclaim all implied warranties, including merchantability, fitness for a purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law:

Algorithm Squad shall not be liable for indirect or consequential damages.
Aggregate liability will not exceed the total paid by you in the past 6 months (or USD 500 if unpaid).

13. Indemnification

You agree to indemnify and hold harmless Algorithm Squad from claims, damages, or expenses arising from:

Your misuse of the Service or Platform Data.
Your violation of these Terms or Meta's policies.
Any content you transmit through BotOverload.

14. Term and Termination

You may terminate your account at any time.

Algorithm Squad may suspend or terminate access if you violate these Terms, Meta Platform Terms, or misuse Platform Data.

Upon termination:

All rights granted to you will cease immediately.
Stored data may be deleted after 30 days unless legally required to retain it.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates.

Disputes shall be settled under the Dubai International Arbitration Centre (DIAC) rules.

Before arbitration, both parties agree to attempt good-faith informal resolution by contacting legal@algorithmsquad.ae.

16. Changes to the Terms

We may modify these Terms periodically.

Material changes will be announced via email or in-app notice, and continued use constitutes acceptance.

17. General Provisions

Entire Agreement: These Terms, along with our Privacy Policy, constitute the full agreement.

Severability: If any provision is invalid, others remain enforceable.

Assignment: You may not assign these Terms without prior consent.

Force Majeure: We are not responsible for failures caused by events beyond our control.
